Terms of Service
The terms that govern quotes, projects, payments and ongoing support when you work with AdminBeat.
1.Acceptance of Terms
These Terms of Service ("Terms") form a binding agreement between AdminBeat ("AdminBeat," "we," "us," or "our") and the business or individual engaging our services ("Client," "you"). By accepting a proposal or quote, submitting a deposit, or otherwise instructing AdminBeat to begin work, you agree to be bound by these Terms. If you do not agree, please do not engage our Services.
2.Description of Services
AdminBeat provides digital services including, without limitation:
- Website Development — design, development and launch of business websites;
- E-Commerce Development — design, development and launch of online stores, including payment gateway and inventory integrations;
- Web Application Development — design, development and launch of custom web applications, dashboards and portals;
- Supporting services — SEO setup, hosting, maintenance, content management and related consulting.
The specific deliverables, timeline and price for each engagement are set out in a written quote, proposal, or statement of work ("Project Agreement"), which forms part of these Terms. In the event of a conflict, the Project Agreement controls over these Terms for that project.
3.Quotes & Scope of Work
Quotes are estimates based on the information available at the time and are valid for 30 days unless stated otherwise. Final pricing is confirmed once the scope of work is agreed in a Project Agreement. Work outside the agreed scope (additional pages, features, integrations, or rounds of revision beyond what's included) will be quoted separately and may affect the project timeline.
4.Fees & Payment
- Deposits: Unless otherwise agreed, projects require a non-refundable deposit of 30–50% of the total quoted price before work begins.
- Milestone or final payment: Remaining balances are due at the milestones stated in the Project Agreement, and in all cases before final files, source code or admin credentials are transferred or a website/application is made publicly live.
- Recurring fees: Hosting, maintenance and support plans are billed monthly or annually in advance and renew automatically unless cancelled per Section 10.
- Late payment: Invoices unpaid after 14 days may accrue a late fee of 1.5% per month (or the maximum permitted by law) and may result in suspension of work or of a live site/application until payment is received.
- Taxes: Fees are exclusive of applicable sales, VAT or other taxes, which will be added where required.
5.Client Responsibilities
You agree to:
- Provide timely content, brand assets, feedback and approvals needed to keep the project on schedule;
- Designate an authorized point of contact for approvals;
- Ensure that any content, images, trademarks or data you supply do not infringe the rights of any third party;
- Maintain the confidentiality of any login credentials issued to you; and
- Review deliverables promptly — deliverables are considered accepted if no written feedback is provided within 10 business days of delivery.
6.Timeline & Delays
Timelines stated in a Project Agreement are estimates based on the Client providing requested materials and feedback promptly. Delays caused by late content, delayed approvals, scope changes, or factors outside AdminBeat's reasonable control will extend the timeline accordingly and are not a breach of these Terms.
7.Revisions & Change Requests
Each Project Agreement specifies the number of design and development revision rounds included. Additional revisions, or changes requested after a milestone has been approved, will be quoted and billed separately at our then-current hourly or project rate before work begins.
8.Intellectual Property
Ownership upon payment
Upon receipt of payment in full for a project, AdminBeat assigns to the Client all rights, title and interest in the custom design, custom code and content created specifically for that project ("Deliverables"), excluding any pre-existing tools, frameworks, libraries and third-party materials described below. Until payment is received in full, all Deliverables remain the property of AdminBeat.
Pre-existing & reusable materials
AdminBeat retains ownership of any pre-existing frameworks, boilerplate code, internal tools, and general methodologies used to deliver the project, and may reuse non-client-specific components (such as generic code snippets) in future projects, provided no confidential Client information is disclosed.
Portfolio & promotional use
Unless you opt out in writing, AdminBeat may display the completed project (screenshots, links and a short description) in its portfolio, case studies and marketing materials.
Client-supplied materials
You retain ownership of any content, trademarks, logos and data you supply, and you represent that you have the right to use and license such materials to us for the purpose of completing the project.
9.Third-Party Materials & Licenses
Projects may incorporate third-party software, plugins, themes, fonts, stock images, platforms (e.g. WordPress, Shopify, WooCommerce) or services (e.g. payment gateways, hosting, analytics), each governed by its own license or terms of service. AdminBeat will identify any material third-party license costs in the Project Agreement. The Client is responsible for maintaining any accounts, subscriptions or licenses in their own name going forward, unless a maintenance plan under Section 10 states otherwise.
10.Hosting, Maintenance & Support Plans
Where the Client subscribes to an AdminBeat hosting, maintenance or support plan, that plan continues on a recurring billing basis until cancelled by either party with at least 30 days' written notice. Support plans cover the scope described at signup (e.g. updates, backups, security monitoring, minor content changes) and do not include new feature development, major redesigns, or fixing issues caused by changes made by the Client or a third party outside AdminBeat's involvement, which will be billed separately.
11.Warranties & Disclaimers
AdminBeat will perform Services in a professional and workmanlike manner consistent with generally accepted industry standards. Except as expressly stated in a Project Agreement, Services and Deliverables are provided "as is" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee specific business outcomes, search engine rankings, sales volumes, or uninterrupted, error-free operation of any website, store or application, as these depend on many factors outside our control.
12.Limitation of Liability
To the maximum extent permitted by law, AdminBeat and its owners, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or business opportunity, arising out of or related to these Terms or the Services, even if advised of the possibility of such damages. AdminBeat's total aggregate liability arising out of any project will not exceed the total fees paid by the Client to AdminBeat for that specific project in the six months preceding the claim.
13.Indemnification
You agree to indemnify and hold AdminBeat harmless from any claims, damages, losses or expenses (including reasonable legal fees) arising from: (a) content or materials you supplied that infringe a third party's rights; (b) your use of the Deliverables in violation of these Terms or applicable law; or (c) your breach of any representation made under these Terms.
14.Confidentiality
Each party agrees to keep confidential any non-public business, technical or financial information disclosed by the other party in connection with a project, and to use it only for the purposes of that project. This obligation survives completion or termination of a project and does not apply to information that is or becomes public through no fault of the receiving party, or that must be disclosed by law.
15.Termination
Either party may terminate an in-progress project with written notice if the other party materially breaches these Terms and fails to remedy the breach within 14 days of notice. If the Client terminates a project without cause, fees for work completed to date (including the deposit) are non-refundable, and any Deliverables completed but unpaid remain the property of AdminBeat until paid in full. AdminBeat may suspend or terminate ongoing hosting, maintenance or support services immediately for non-payment.
16.Force Majeure
Neither party is liable for delay or failure to perform obligations (other than payment obligations) due to causes beyond its reasonable control, including natural disasters, acts of government, internet or utility outages, or third-party platform failures.
17.Governing Law & Dispute Resolution
These Terms are governed by the laws of Pakistan. We value our relationship with you, and if any disagreement ever arises, we're committed to working together in good faith to reach a fair and amicable resolution as quickly as possible. Most concerns can be resolved through open, respectful conversation, and we encourage you to reach out to us directly so we can address any issue collaboratively. Should a matter remain unresolved after 30 days of good-faith discussion, the parties agree to proceed as further outlined in writing, in accordance with the jurisdiction of Gujranwala, Pakistan.
18.General Provisions
- Independent contractor: AdminBeat performs Services as an independent contractor, not as an employee, partner or agent of the Client.
- Assignment: Neither party may assign these Terms without the other's written consent, except in connection with a merger, acquisition or sale of substantially all assets.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
- Entire agreement: These Terms, together with the applicable Project Agreement and our Privacy Policy, constitute the entire agreement between the parties regarding the subject matter herein.
19.Changes to These Terms
We may update these Terms from time to time. Changes apply to projects and plans entered into after the updated Terms are posted; active Project Agreements are governed by the Terms in effect when they were signed, unless both parties agree otherwise in writing.
